Summary
- You get a license to use Cognity; you don’t own it.
- You own your data; we process it to provide the service.
- Forecasts/simulations are estimates — decisions are yours.
- Liability is limited to fees paid (see Section 6).
These Terms of Service (“Terms”) govern access to and use of the Cognity platform (“Platform”) provided by Cognity SIA, a company registered in Latvia (“Cognity”, “we”, “us”). By creating an account, using the Platform, or paying for a subscription, you (“Customer”, “you”) agree to these Terms.
1. Description of Service
Cognity provides AI-based forecasting, simulation, and planning tools for business decision support, including demand forecasting, inventory planning, and financial impact analysis. The Platform provides analytical insights and simulations and does not provide financial, accounting, or legal advice.
2. License Grant
Subject to payment of applicable fees, Customer is granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for internal business purposes during the subscription period. No ownership rights are transferred.
3. Intellectual Property
All rights, title, and interest in and to the Platform, including but not limited to software, source code, algorithms, AI models, forecast logic, simulations, enhancements, custom features, and documentation, remain the exclusive property of Cognity SIA.
Customer may not (and may not permit any third party to):
- Reverse engineer, decompile, or attempt to discover the source code or underlying ideas.
- Copy, modify, or create derivative works of the Platform.
- Resell, sublicense, or make the Platform available to third parties.
- Benchmark or publish performance results without written consent.
4. Customer Data
Customer retains ownership of data uploaded to the Platform (“Customer Data”). Customer grants Cognity the right to process Customer Data solely to provide and improve the services. Cognity does not sell Customer Data.
Upon termination, Customer may request export of its Customer Data within 30 days. After that period, Cognity may delete Customer Data unless retention is required by law.
5. Forecasting & Simulation Disclaimer
The Platform provides predictive and simulated outputs based on statistical models and historical data. Forecasts and simulations are estimates only and do not guarantee future results. Customer is solely responsible for business decisions and actions taken based on Platform outputs.
6. Limitation of Liability
To the maximum extent permitted by law, Cognity shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity.
Cognity’s total liability under these Terms shall not exceed the total subscription fees paid by Customer during the 12 months preceding the event giving rise to the claim.
7. Payment & Subscription
Subscription fees are billed monthly or annually as agreed. Fees are due in advance. Failure to pay may result in suspension or termination of access. Unless otherwise agreed in writing, fees are non-refundable.
Prices are shown exclusive of VAT unless stated otherwise. VAT may apply depending on Customer location and status.
8. Termination
Either party may terminate the subscription at the end of the current billing period. Cognity may terminate immediately for material breach or misuse of the Platform. Upon termination, access will be revoked.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is marked or reasonably understood as confidential, and to use such information only to perform under these Terms.
10. Governing Law
These Terms are governed by the laws of the Republic of Latvia, without regard to conflict of law principles.
